Original Equipment Manufacturer, Build-to-Print Supplier, and Subcontractors

1. The Seller is required to maintain a quality management system that is approved by Calspan Aero Systems Engineering, Inc.(C-ASE).

2. Sellers approved by C-ASE via certification (ISO, AS9100, ISO17025, AWS welding certification, etc.) must notify C-ASE of any changes to that certification.

3. The Seller is required to notify C-ASE of changes in product and/or process, changes of suppliers, and changes of manufacturing facility locations.

4. The Seller is required to retain all records associated with the purchase order for 7 (seven) years unless otherwise stated on the purchase order.

5. The Seller is required to flow down to their supply chain the applicable requirements, including customer requirements.

6. Fabrication drawings generated by the Seller for this purchase order require C-ASE review and approval prior to use.

7. C-ASE shall furnish drawings, if applicable, to the Supplier for this Agreement. If available, a 3D model may also be supplied. The 3D model is reference only and the drawings take precedence over any 3D models unless otherwise noted on the drawing. All verifying activities shall be performed against the measurements on the supplier drawings.

8. C-ASE reserves the right to specify and approve any designs, tests, inspection plans and verification for final product acceptance, including critical to quality dimensions and/or characteristics.

9. The Seller shall maintain configuration control and revision status of specifications, drawings, process requirements, inspection/verification instructions and other relevant technical data.

10. The Seller is responsible for ensuring that it is using the most current version of the document(s) provided by C-ASE.

11. The Seller is required to contact C-ASE for approval of all deviation and waiver requests. QAF-100

12. The Seller is required to notify C-ASE of nonconforming product and obtain our approval for nonconforming product disposition. QAF-100

13. The shelf life and expiration date of parts/materials subject to degradation with age must be clearly stated on the certification and/or packaging. Parts/materials shall have at least 75% of original shelf life remaining as of the date of shipment.

14. Calibration certificates must identify standards used and must be traceable to NIST (National Institute of Standards Technology) or a Certified National Standards Laboratory (NSL). The standards and institution shall be identified in all calibration reports and documentation to which the calibration is traced.

15. The Seller is responsible to ensure processes, including special processes, required by this purchase order are performed by qualified personnel.

16. Upon request by C-ASE, the Seller shall provide evidence of training for those individuals performing special processes under this Agreement.

17. The Seller is required to provide certifications for all processes used to produce goods for this Agreement which cannot be verified by subsequent monitoring or measurement (including but not limited to heat treating, welding, stress relieving, anodizing, X-ray, magna-flux, load test, black oxide, plating, etc.).

18. The Seller is required to perform and document all measurements, inspections and tests necessary to substantiate that the goods or services under this Agreement conform to contract requirements. The Seller shall provide C-ASE inspection records evidencing all inspections performed.

19. The Seller is required to provide a certificate of conformance or inspection documentation to indicate that the goods have passed all final quality control inspections and the goods meet or exceed all requirements, technical prints and specifications.

20. When C-ASE or its customer intends to perform verification at the Seller’s premises, C-ASE will first state the intended verification arrangements and the method of product release. This information will be communicated on the C-ASE purchase order or via another acceptable purchasing arrangement.

21. The Seller is responsible to ensure product being supplied under this Agreement is free of any Foreign Object Debris (FOD) before releasing the product to C-ASE. FOD is any object or substance which is alien to the component, assembly or system. (Common examples of FOD include metal shavings, sand, washers, wire, rocks, tools, etc.) C-ASE Training Manual 704822-001 is provided as a training tool for FOD awareness and prevention (see link below).

Any Subcontractor performing work on a C-ASE job site is required to review and comply with Specification 704822-001 and 704823-001 (see links below).

22. SELLER’S NOTIFICATION OF ESCAPEMENT

If a nonconformance is determined to exist or is suspected to exist on Goods and/or Services previously provided to C-ASE under these Terms & Conditions, Seller shall provide written Post Delivery Notification Letter or Letter of Disclosure [Notification of Escapement (NOE)] to C-ASE’s Authorized Procurement Representative.

Seller shall provide the letter and all required NOE information (see below) within three (3) business days of when nonconformance was determined. However, if the nonconformance affects safety of flight or is mission critical, Seller shall immediately provide the letter and all available information.

At minimum, Seller shall include the following NOE information:

  • C-ASE’s contract number and line item number
  • Quantity
  • Specific description of nonconformance (i.e., “should be” and “is” condition) with reference to applicable engineering documentation
  • Statement declaring whether the nonconformance was determined to exist or suspected to exist
  • Preliminary root cause and root cause corrective action
  • Name of the Seller’s Quality personnel involved in the collection and reporting of the NOE information

Distributors and Catalog/Off the Shelf Suppliers

6. Sellers providing calibration services must provide evidence of calibration traceable to National Institute of Standards Technology (NIST) or a Certified National Standards Laboratory (NSL) and maintain accreditation to ISO17025 or equivalent.

7. The Seller is responsible to ensure product being supplied under this Agreement is free of any Foreign Object Debris (FOD) before releasing the product to C-ASE. FOD is any object or substance which is alien to the component, assembly or system. (Common examples of FOD include metal shavings, sand, washers, wire, rocks, tools, etc.) C-ASE Training Manual 704822-001 is provided as a training tool for FOD awareness and prevention (see link below).
